第1条、定义

第2条、委任及法律关系

2.1、委任：在本协议有效期内，甲方委任乙方作为其代理，以便在地区获致产品的订单。乙方愿意接受并承担此项委托。

2.2、法律关系：本协议给予乙方的权利和权力只限于给于一般代理的权利和权力，本协议不产生其它任何关系，或给予乙方以代表甲方或使甲方受其它任何协议约束的任何权利，特别是，本协议并不构成或委派乙方为甲方的代表，雇员或合伙人。双方明确和理解并同意，在任何情况下，乙方可能遭受的任何损失，不论部分或全部，甲方均不承担责任。

2.3、指示：乙方应严格遵守甲方随时发来的指示。由于乙方超越或违背甲方指示而造成的任何索赔、债务和责任，乙方应设法保护甲方利益并赔偿甲方因此而遭受的损失。

第3条、甲方的责任

3.1、广告资料：中方应按实际成本向乙方提供合理数量的产品样品、样本、价目表、广告宣传用的小册子及其他有关产品推销的辅助资料。

3.2、支付推销：甲方应尽力支持乙方开展产品的推销;甲方不主动向乙方代理地区的其他客户发盘。

3.3、转介客户：除本协议另有规定外，如地区其他客户直接向甲方询价或订购，甲方应将该客户转介乙方联系。

3.4、价格：甲方提供乙方的产品价格资料，应尽可能保持稳定，如有变动应及时通知乙方，以利推销。

3.5、优惠条款：甲方提供乙方获致订单的条款是最优惠的。今后如甲方向地区其他客户销售产品而提供比本协议更有利条件时，甲方应立即以书面通知乙方，并向乙方提供比此项更有利的条件。

3.6、保证：甲方担保凡根据本协议出售的产品如经证实在出售时质量低劣，并经甲方认可，则甲方应予免费修复或调换。但此项免费修复或调换的保证，以产品在出售后未经变更或未经不正确地使用为限。除上述保证外，甲乙双方均同意不提供任何其它保证。

第4条、乙方的责任

4.1、推销：乙方应积极促进产品的推销，获取订单，并保持一个有相当规模和足够能力的推销机构，以利产品在地区的业务顺利开展和扩大。

4.2、禁止竞争：乙方除得到甲方书面同意外，不应制造、购买、获取订单、或协助推销与本协议产品相同或类似的其他国家商品，或将本协议内产品转销其他国家和地区。

4.3、最低销售额：在本协议有效期间的第一个十二个月内，乙方从地区客户获得的产品订单，总金额应不少于______元。以后每十二个月递增百分之十五。

4.4、费用：在本协议有效期内，乙方应承担在地区推销和获取产品订单的全部费用，如电报费、旅费和其他费用，本协议另有规定者除外。

4.5、产品价格与条件：乙方保证按照甲方在本协议有效期内随时规定的价格和条件进行推销。在获取订单时，乙方应充分告知客户，甲方的销售确认书或合同内的一些条款以及任何订单均须经乙方确认接受后方为有效。乙方收到的产品订单，应立即转给甲方以便予以确认或拒绝。

4.6、督促履约：乙方应督促买户严格按照销售确认书或合同的各项条款履约，例如及时开立信用证等等。

4.7、市场情况报导：乙方应负责每月（或每季）向甲方提供书面的有关产品的市场报导，包括市场上同类产品的销售情况、价格、包装、推销方式、广告资料、客户的反应和意见等。如市场情况发生重大变化时，乙方应及时以电报通知甲方。

第5条、佣金

5.1、佣金率及支付方式：凡经乙方获得并经甲方确认的订单，甲方在收妥每笔交易全部货款后，将按发票净售价付给乙方百分之_________佣金。为了结算方便，佣金每月（季）汇付一次。如有退货，乙方应将有关佣金退还甲方。

5.2、计算基础：上述发票净售价系指甲方开出的产品发票上的总金额（或毛售价）减去下列费用后的金额，但以这些费用业经包括在毛售价之内者为限：

如乙方地区的客户在中国访问期间（包括参加在中国举办的各种交易会）与甲方达成产品的交易，目的港为乙方代理地区者，甲方有权接受其订单，但不为乙方保留佣金，亦不计入上述最低销售额。

5.4、超额佣金：如乙方在本协议有效期内积极推销产品并超额完成年度最低销售额（按实际出运金额计算），甲方对超额部分除支付规定的佣金外，应另付乙方奖励佣金：

（1）超额百分之五十时，奖励佣金为百分之_________；

（2）超额百分之一百及以上时，奖励佣金为百分之_________。奖励佣金在年度终了由甲方结算后一次汇付乙方。

第6条、协议有效期

本协议有效期为______年，期满自动失效。如双方同意延续本协议，任何一方应在期满______天前用书面通知对方以便相互确认

第7条、协议的终止

7.1、终止：协议双方应认真负责地执行各项条款。在下列条件下，每一方得以书面通知另一方立即终止本协议或取消其中某一部分：

（1）如一方未能履行本协议的任何一项义务，而此项违约在接到另一方书面要求纠正的通知后______天内又未能加以纠正；或

（2）如一方自动或被迫申请宣告破产，自动或被迫申请改组、清理、解散、或对该方指定了产业管理人；或

（3）如发生违反本协议第8条有关商标使用或注册的情况；或

（4）如发生本协议第9条不可抗力事由，一方在超过_________天期限后仍无法履行其义务时。

7.2、终止的影响：本协议的终止并不解除双方按照本协议规定业已产生但未了结的任何债务。凡在协议终止前由于一方违约致使另一方遭受的损失，另一方仍有权提出索赔，不应受终止本协议的影响。、乙方特此声明：由于终止本协议而引起的损害，乙方放弃要求补偿或索赔，但终止本协议前甲方应付乙方的应得佣金仍应照付。

第8条、商标

甲方目前拥有和使用的商标、图案、及其他标记，均属甲方产权，未经甲方特别以书面同意，乙方均不得直接或间接地、全部或部分地使用或注册。即使甲方特别以书面同意乙方按某种方式使用，但在本协议期满或终止时，此种使用应随即停止并取消。

关于上述权利，如发生任何争议或索赔，甲方有权立即单方面取消本协议并且不承担由此而产生的任何责任。

第9条、不可抗力

任何一方由于人力不可抗拒事由，以致直接或间接地造成任何迟延或无法履行本协议全部或部分条款时，另一方不得提出索赔要求。此类事由包括：水灾、火灾、风灾、地震、海啸、雷击、疫病、战争、封锁、禁运、扣押、战争威胁、制裁、骚动、电力控制、禁止进口或出口、或其它非当事人所能控制的类似原因、或双方同意的其它特殊原因。

有关一方应在事故发生后_________天内以书面通知另一方，并提供当地有关机构的证明文件，证明不可抗力事故的存在。

第10条、仲裁

凡有关协议或执行本协议而发生的一切争执，双方应通过友好协商解决。如协商不能解决，双方同意提交中国国际经济贸易仲裁委员会按该会的仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。任何一方不得再以诉讼或其他方式向法院或其它机构申请变更。仲裁费用由败诉一方负担，仲裁裁决另有规定者按照规定办理。

第11条、转让

要协议任何一方在未经征得另一方书面同意之前，不得将本协议规定的任何权利和义务转让给第三者。任何转让，未经另一方书面明确同意，均属无效。

第12条、协议生效及其他

12.1、生效日期：本协议自双方签字之日起立即生效。

12.2、未尽事宜：本协议如有未尽事宜须加补充或修改时，应以书面提出并经双方正式授权的代表签署后方能生效。

12.3、标题：本协议各项条款的标题仅为方便而设，不应限制或影响协议中任何条款的实质。

12.4、全部协议：本协议系双方关于本协议主题的全部协议和谅解。除本协议有明文规定者外，以前其它有关本协议主题的任何条件，声明或保证，不论是以书面或口头提出的.，对双方都无约束力。

12.5、正式文本：本协议及附件以中文和英文缮就，每种文本有二正二副，签署后双方各执正副本各一份，两种文本具有同等效力。

12.6、政府贸易：本协议不适用于双方政府之间的贸易或甲方与乙方政府之间达成的交易，亦不适用于易货贸易或投标交易。

(9) Discrepancy and Claims: Should the quality and /or quantity (weight) be found not in conformity with that of the contract, the Buyers are entitled to lodge with the Sellers a claim which should be supported by survey reports issued bu a recognized survey or approved by the Sellers. The claim, if any, shall be lodged within 30 days after arrival of the cargo at the port of destination.

(10) Force Majeure: The sellers shall not be held liable for non-delivery or delayed delivery of the goods due to accidents beyond their control. However, the Sellers shall deliver to the Buyers the documentary evidence(s) of force majeure cause(s).

(11) Arbitration: All disputes in connection with this contract or its execution shall be settled by

negotiation. In case no settlement can be reached, the case under dispute shall then be submitted to China International Economic and Trade Commission in Beijing for arbitration in accordance with its Arbitration Rules. The decision shall be final and binding upon both parties. The arbitration fees shall be borne by the losing party.

Party A employs Party B to be a foreign trade business employee of _______Company (hereinafter referred to as Party A), and the two parties reach the following agreement regarding the employment matters:

1. In the principle of sincere cooperation and common development, both parties hereby enter into this Agreement through friendly negotiation.

2. Party B shall be a legal citizen with full civil capacity and labor capacity.

3. Party B shall provide authentic and legitimate personal information and go through relevant procedures. Party B can become Party As foreign trade business personnel only after Party As verification is correct.

4. Party B shall read this Agreement in detail and understand all relevant provisions of Party A, have a high degree of awareness and loyalty to Party As business philosophy, and voluntarily maintain and comply with all rules and regulations of Party A.

5. Party A shall pay corresponding performance commissions according to Party Bs sales performance. If the business personnel have travel expenses, Party B shall truthfully reimburse the corresponding expenses according to regulations.

6. In order to facilitate Party Bs market expansion, Party A shall provide Party B with the appropriate operating platform. All customers developed by Party B during the term of office shall be owned by Party A. Party B shall not place any private order. Once found, Party B will be held legally responsible.

7. Party B is a professional. If Party B has no performance or fails to achieve the performance stipulated by the Company in the case of the information provided by Party A, Party A shall have the right to terminate the labor relationship between the two parties as required.

8. Party B shall keep all company information confidential, including shall not submit the companys customer resources and product price list to the same industry after leaving the company (employees shall not enjoy any company resources, such as msn, email, b2b), and shall be liable for the damage caused to the company.

9. Party As probation period is one month. During the probation period, Party Bs basic salary is rmb xx/ month and provides accommodation (living in collective dormitory).

10. Party Bs sales commission shall be calculated according to the following methods:

Sales: rmb 0~10000 The salary of Party B is basic salary

Sales: rmb 10001~20000 Party Bs salary is: basic salary + (sales -10000) x2%

Sales: rmb 20000 or more Party Bs salary is: base salary +200+ (sales -20000) x3%

11. If Party Bs performance during the probation period meets the conditions for his/her promotion, Party A shall grant him/her promotion and increase his/her basic salary (depending on his/her performance not exceeding 300).

12. After becoming a regular employee, Party A shall provide Party B with a quarterly salary increase, which shall not exceed 300 yuan each time depending on Party Bs performance.

11. Party B can be promoted to business supervisor if he/she performs well; After being promoted as a business supervisor, Party B shall enjoy one-thousandth of the business sales commission point. If Party Bs mistake results in the Companys total sales without profit and the company is not paid any commission, or the companys interest reaches a low point due to the quotation to the customer, Party A and Party B shall separately negotiate the performance commission. If Party B has no performance during the probation period, Party A shall have the right to terminate the employment relationship.

12. During the probation period, Party B can not ask for leave (except for special circumstances). If Party B asks for leave for more than 5 days, the contract will not take effect (cant be so), and no salary will be paid. In addition, if Party B wants to leave the company during the probation period, he/she shall submit a resignation application three days in advance.

12. Employee salary payment: The employee salary must be pressed for one month, and the salary is paid on the 18th of each month. Commission payment: After receiving the customers payment and confirming that the customer has received the goods, the commission is paid together with the last months salary.

13. Party B shall submit the resignation application one month in advance, and shall be allowed to leave the company after completing the handover procedures as required, otherwise no salary will be paid. OTHER TERMS:

1. 异议：品质异议须于货到目的口岸之日起30天内提出，数量异议须于货到目的口岸之日起15天内提出，但均须提供经卖方同意的公证行的检验证明。如责任属于卖方者，卖方于收到异议20天内答复买方并提出处理意见。

Discrepancy: In case of quality discrepancy, claim should be lodged by the Buyers within 30 days after the arrival of the goods at the port of destination, while for quantity discrepancy, claim should be lodged by the Buyers within 15 days after the arrival of the goods at the port of destination. In all cases, claims must be accompanied by Survey Reports of Recognized Public Surveyors agreed to by the Sellers. Should the responsibility of the subject under claim be found to rest on the part of the Sellers, the Sellers shall, within 20 days after receipt of the claim, send their reply to the Buyers together with suggestion for settlement.

2. 信用证内应明确规定卖方有权可多装或少装所注明的百分数，并按实际装运数量议付。（信用证之金额按本售货合约金额增加相应的百分数。）

The covering Letter of Credit shall stipulate the Sellers’s option of shipping the indicated percentage more or less than the quantity hereby contracted and be negotiated for the amount covering the value of quantity actually shipped. (The Buyers are requested to establish the L/C in amount with the indicated percentage over the total value of the order as per this Sales Contract.)

3. 信用证内容须严格符合本售货合约的规定，否则修改信用证的费用由买方负担，卖方并不负因修改信用证而延误装运的责任，并保留因此而发生的一切损失的索赔权。

The contents of the covering Letter of Credit shall be in strict conformity with the stipulations of the Sales Contract. In case of any variation there of necessitating amendment of the L/C, the Buyers shall bear the e__penses for effecting the amendment. The Sellers shall not be held responsible for possible delay of shipment resulting from awaiting the amendment of the L/C and reserve the right to claim from the Buyers for the losses resulting therefrom.

4. 除经约定保险归买方投保者外，由卖方向中国的保险公司投保。如买方需增加保险额及/或需加保其他险，可于装船前提出，经卖方同意后代为投保，其费用由买方负担。

E__cept in cases where the insurance is covered by the Buyers as arranged, insurance is to be covered by the Sellers with a Chinese insurance company. If insurance for additional amount and /or for other insurance terms is required by the Buyers, prior notice to this effect must reach the Sellers before shipment and is subject to the Sellers’agreement, and the e__tra insurance premium shall be for the Buyers’ account.

5. 因人力不可抗拒事故使卖方不能在本售货合约规定期限内交货或不能交货，卖方不负责任，但是卖方必须立即以电报通知买方。如果买方提出要求，卖方应以挂号函向买方提供由中国国际贸易促进委员会或有关机构出具的证明，证明事故的存在。买方不能领到进口许可证，不能被认为系属人力不可抗拒范围。

The Sellers shall not be held responsible if they fail, owing to Force Majeure cause or causes, to make delivery within the time stipulated in this Sales Contract or cannot deliver the goods. However, the Sellers shall inform immediately the Buyers by cable. The Sellers shall deliver to the Buyers by registered letter, if it is requested by the Buyers, a certificate issued by the China Council for the Promotion of International Trade or by any competent authorities, attesting the e__istence of the said cause or causes. The Buyers’ failure to obtain the relative Import Licence is not to be treated as Force Majeure.

6. 仲裁：凡因执行本合约或有关本合约所发生的一切争执，双方应以友好方式协商解决；如果协商不能解决，应提交中国国际经济贸易仲裁委员会，根据该会的仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。

Arbitration: All disputes arising in connection with this Sales Contract or the e__ecution thereof shall be settled by way of amicable negotiation. In case no settlement can be reached, the case at issue shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission in accordance with the provisions of the said Commission. The award by the said Commission shall be deemed as final and binding upon both parties.

11、由于发生当事人不能预见、不可避免或无法控制的不可抗力事件，致使本合约不能履行，部分或全部商品延误交货，卖方概不负责。(The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which may occur. Force Majeure as referred to in this contract means unforeseeable, unavoidable and insurmountable objective conditions.)

12、仲裁(Arbitration)：

凡因本合同引起的或与本合同有关的任何争议，均应提交中国国际贸易仲裁委员会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。

7．市场情况报告

8．宣传广告费用

在本协议有效期内，乙方在上述经销地区所作广告宣传的一切费用，由乙方自理。乙方须事先向甲方提供宣传广告的`图案及文字说明，由甲方审阅同意。

9．协议有效期

all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached， the case in dispute shall then be submitted to the foreign trade arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decision made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party ，unless otherwise awarded.

11．其他条款

other terms & conditions

（1）甲方不得向经销地区其他买主供应本协议所规定的商品。如有询价，当转达给乙方洽办。若有买主希望从甲方直接订购，甲方可以供货，但甲方须将有关销售确认书副本寄给乙方，并按所达成交易的发票金额给予乙方_________％的佣金。

party a shall not supply the contracted commodity to any other buyer(s) in the above mentioned territory. direct enquiries， if any， will be referred to party b. however， should any other buyers wish to deal with party a directly， party a may do so. but party a shall send to party b a copy of sales confirmation and give party b _________% commission on the basis of the net invoice value of the transaction(s)concluded.

（2）若乙方在_________月内未能向甲方提供至少_________订货，甲方不承担本协议的义务。
